1. Acceptance of Terms
By accessing or using Deep Blue Alpha ("the Service"), operated by Deep Blue Alpha ("we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree, you may not use the Service.
2. Description of Service
Deep Blue Alpha provides Ethereum blockchain analytics, including whale wallet tracking, transaction monitoring, market trends, and related data visualization tools. The Service is offered through our website at deepbluealpha.io and through our API.
3. Not Financial Advice
Deep Blue Alpha is a data analytics platform only. Nothing on this site constitutes financial advice, investment advice, trading advice, or any other form of professional advice. All data and analysis are provided for informational and educational purposes only.
You acknowledge and agree that:
- All content is provided "as-is" for informational purposes only
- We do not recommend any specific cryptocurrency, token, or investment strategy
- You should consult a qualified financial advisor before making investment decisions
- Past blockchain activity does not guarantee future results
- Cryptocurrency trading involves substantial risk of loss
4. User Accounts
To access certain features, you may need to create an account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You must provide accurate information and promptly update it if it changes.
We reserve the right to suspend or terminate accounts that violate these terms, engage in fraudulent activity, or abuse the Service.
5. Subscription Plans & Payments
Deep Blue Alpha offers free and paid subscription tiers. Paid plans are billed on a monthly or yearly basis. By subscribing to a paid plan, you agree to pay the applicable fees.
- Billing: Subscriptions automatically renew unless cancelled before the renewal date.
- Cancellation: You may cancel at any time. Access continues through the end of your current billing period.
- Refunds: Subscription fees are generally non-refundable, except as required by applicable law.
- Crypto Payments: Payments made via cryptocurrency are final and non-refundable due to the nature of blockchain transactions.
- Price Changes: We may adjust pricing with 30 days' notice. Existing subscribers are locked in at their current rate until the end of their billing cycle.
- Founding Member Pricing: Users who subscribe during our founding member promotional period receive a discounted rate that remains locked in for the lifetime of their continuous subscription. If a founding member voluntarily cancels and later resubscribes, the then-current pricing applies.
- Involuntary lapse — 14-day grace period: If a founding member's subscription is suspended due to a payment failure (failed card charge, expired card, card reissue, NSF, or similar), the founding rate is preserved for fourteen (14) days from the date of the first failed charge. If you update your payment method and the charge succeeds within that window, your founding rate continues uninterrupted. If the failure is not resolved within fourteen days, the account reverts to Free and the then-current standard pricing applies on resubscription.
6. API Usage
API access is subject to rate limits based on your subscription tier. You may not:
- Exceed your allocated rate limits or attempt to circumvent them
- Resell, redistribute, or sublicense API access
- Use the API for any unlawful purpose
- Overload, disrupt, or interfere with the Service or its infrastructure
7. Intellectual Property
All content, design, code, and analytics provided by Deep Blue Alpha are our proprietary property or licensed to us. You may not reproduce, distribute, or create derivative works from our content without written permission. Blockchain data itself is public, but our analysis, presentation, and tools are proprietary.
8. Prohibited Uses
You agree not to:
- Use the Service for any illegal activity, including money laundering or fraud
- Scrape, crawl, or otherwise extract data from the Service by automated means beyond the provided API
- Attempt to gain unauthorized access to the Service, other accounts, or our systems
- Transmit viruses, malware, or any malicious code
- Impersonate any person or entity
- Use the Service in any way that could damage, disable, or impair it
9. Data Accuracy
We strive to provide accurate and timely blockchain data, but we do not guarantee the completeness, accuracy, or reliability of any information on the Service. Blockchain data may be delayed, incomplete, or subject to reorganizations. Use the data at your own risk.
10. Limitation of Liability
To the maximum extent permitted by law, Deep Blue Alpha and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:
- Your use of or inability to use the Service
- Any trading or investment decisions made based on data from the Service
- Unauthorized access to or alteration of your data
- Service interruptions, errors, or downtime
- Any third-party conduct on the Service
11. Disclaimer of Warranties
The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
12. Service Availability & No SLA
We make best-effort commitments to keep the Service operating continuously, but we do not provide a Service Level Agreement (SLA), uptime guarantee, or service-credit program for any tier (free or paid). Paid tiers receive priority routing and support response, but not a contractual uptime promise. Scheduled maintenance, third-party outages (Cloudflare, Stripe, NOWPayments, blockchain RPC providers), or unforeseen incidents may cause temporary unavailability without compensation.
13. Indemnification
You agree to indemnify and hold harmless Deep Blue Alpha, its operators, affiliates, and agents from any claims, damages, losses, or expenses arising from your use of the Service or violation of these terms.
14. Modifications
We reserve the right to modify these terms at any time. We will notify registered users of material changes via email or through the Service. Continued use after changes constitutes acceptance of the new terms.
15. Governing Law & Dispute Resolution
These terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.
Binding Arbitration. Any dispute, claim, or controversy arising out of or relating to these terms or your use of the Service that cannot be resolved through good-faith negotiation shall be resolved exclusively through binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The Federal Arbitration Act governs the interpretation and enforcement of this arbitration provision.
Class Action Waiver. You and Deep Blue Alpha each agree that any arbitration shall be conducted on an individual basis only. You waive any right to bring a claim as a plaintiff or class member in any class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding.
Costs. For claims under $10,000, Deep Blue Alpha will pay all AAA filing, administrative, and arbitrator fees. For claims at or above $10,000, fees are allocated per the AAA Consumer Arbitration Rules.
30-Day Opt-Out. You may opt out of this arbitration agreement by sending written notice to team@deepbluealpha.io within 30 days of first creating an account or first agreeing to these terms, whichever is earlier. The notice must include your name, the email address associated with your account, and a clear statement that you are opting out of arbitration. Opting out will not affect any other provision of these terms.
Small Claims. Notwithstanding the foregoing, either party may bring an individual action in small-claims court for disputes within that court's jurisdiction.
16. Severability
If any provision of these terms is found unenforceable, the remaining provisions will continue in full force and effect. The unenforceable provision will be modified only to the minimum extent necessary to make it enforceable.
