Business & API Terms
Last updated: October 16, 2026
These Business & API Terms apply to the Business and Enterprise plans and to all use of the Deep Blue Alpha API, webhooks and bulk data files on any plan. Deep Blue Alpha is a data provider only. Nothing we provide is financial, investment, trading, legal or tax advice.
1. About These Terms
These Business & API Terms (the "Business Terms") are an agreement between Deep Blue Alpha ("Deep Blue Alpha", "we", "us", "our") and the customer that accepts them ("Customer", "you"). Deep Blue Alpha currently operates under that name. When a legal entity is formed to operate the Service, these Business Terms will be assigned to that entity under Section 22, and it will become the contracting party; your rights under these Business Terms are not reduced by that assignment. They supplement our Terms of Service, Privacy Policy, Disclaimer and Billing & Payments policy, which also apply. If these Business Terms conflict with the Terms of Service, these Business Terms control for Business and Enterprise plans and for API, webhook and bulk-file use.
If you accept these Business Terms on behalf of a company or other organization, you confirm that you have authority to bind it, and "you" and "Customer" mean that organization. If you do not have that authority, or do not agree, do not purchase or use a Business or Enterprise plan.
These Business Terms take effect on October 16, 2026 (the "Effective Date").
2. Definitions
- "Data" means all data, labels, classifications, metrics, scores, alerts and other content we make available through the Service, including the website, the API, webhooks, bulk data files and any feed, in raw or processed form.
- "Raw Data" means Data at the level of individual records, such as individual transactions, transfers, wallet addresses, wallet labels, per-wallet holdings or trade histories, and individual alerts, together with any substantially complete copy or extract of a Data set.
- "Aggregated Insight" means a chart, figure, summary statistic or short written observation that you derive from the Data, that summarizes many records, and from which Raw Data cannot reasonably be reconstructed.
- "Authorized Users" means your employees and individual contractors who use the Data solely on your behalf and are bound by obligations at least as protective as these Business Terms.
- "Organization" means you and, for Enterprise only, any affiliates named in your Order Form. A Business plan covers one legal entity.
- "Order Form" means a quote, order form or invoice issued by us for an Enterprise plan (or any custom arrangement) that references these Business Terms.
- "Credentials" means API keys, webhook signing secrets, account passwords and any other access credentials we issue to you.
3. Plan Types and Who Must Choose Business
Personal plans (Free, Pro, Alpha and Whale) are for an individual using the Service for their own personal, non-commercial purposes, including managing their own personal investments with their own money.
A Business or Enterprise plan is required if you use the Service or the Data:
- for or on behalf of a company, fund, partnership, trading firm, DAO, foundation or other organization;
- to manage, advise on, or trade for anyone else's money or assets;
- in or to support a product, service, bot, signal group, paid community, newsletter, research report or other offering that is sold or provided to others, whether or not it is paid; or
- through multiple individuals sharing one account, or in any other way beyond a single individual's personal use.
An individual who trades only their own money and does not provide the Data or anything derived from it to others may remain on a Personal plan. If we reasonably believe that an account is being used in a way that requires a Business or Enterprise plan, we may ask you to upgrade, limit API access, or suspend the account under Section 13.
Existing Whale API subscribers. If your Whale subscription began before the Effective Date and stays continuously active (including automatic renewals and any payment-failure grace period under our Billing policy), you may keep using the API in the same way permitted under the terms you accepted when you subscribed, at your current price, until that subscription ends, is cancelled, or is changed to a different plan or billing period. Starting a new Whale subscription after the Effective Date, including after a cancellation or lapse, is subject to the personal-use license. Nothing in this paragraph grants any right to resell, redistribute or sublicense API access or Data, which was not permitted before the Effective Date either.
4. License Grants
Subject to your compliance with these Business Terms and payment of all fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license, for the term of your paid subscription, as follows.
4.1 Personal plans (including Whale API)
To access and use the Service and the Data, including through the API where your plan includes it, solely for your own personal, non-commercial use, and to share Aggregated Insights non-commercially under Section 6.
4.2 Business plan
To access and use the Service and the Data, including the API, webhooks and bulk data files included in your plan, by Authorized Users, solely for your Organization's internal business purposes, including:
- use inside your own trading systems, execution logic, bots and risk tools that trade only your Organization's own assets;
- internal research, analysis, reporting and decision-making;
- internal dashboards and tools that only Authorized Users can see; and
- training or tuning internal models, provided that the models (and their outputs) are used only internally and are not made available to third parties in a way that discloses or substitutes for the Data.
The Business plan also permits limited public display of Aggregated Insights under Section 6. It does not permit redistribution, resale, public display of Raw Data or use for third parties, all of which require an Enterprise plan.
4.3 Enterprise plan
The rights stated in your Order Form, which may include redistribution, embedding in your products, display to your customers, full available history, custom feeds and service commitments. Enterprise rights exist only as expressly written in a signed or accepted Order Form. Anything not expressly granted is reserved. Unless the Order Form says otherwise, all of these Business Terms apply to Enterprise.
4.4 Reservation of rights
The Data, the Service and all related software, labels, classifications, methodologies, compilations and selections are owned by us or our licensors. Underlying blockchain records are public. Our collection, selection, labeling, classification, scoring and presentation of them are not. We grant no rights other than those expressly stated, and no rights are granted by implication or estoppel.
5. Restrictions
Except as expressly permitted for your plan in Section 4, Section 6 or an Order Form, you will not, and will not allow anyone else to:
- sell, resell, rent, lease, license, sublicense, distribute, redistribute, publish, transmit or otherwise make Raw Data available to any third party;
- display Raw Data publicly, including on websites, apps, social media, Telegram or Discord channels, public dashboards or public repositories;
- offer any feed, alert service, API, signal service, bot, copy-trading service or dataset that is based on, includes or substitutes for the Data;
- use the Data, the Service or any non-public information about them to build, train, benchmark or improve a product or service that competes with Deep Blue Alpha, including any whale-tracking, wallet-labeling or on-chain analytics product;
- use the Data to train, fine-tune or ground any AI model or system that is made available to third parties;
- share, sell, publish or transfer Credentials outside your Organization, or let more people use an account or key than your plan allows;
- combine multiple accounts or keys, rotate keys, or use proxies or other means to get around rate limits, plan limits or access controls;
- scrape, crawl or extract Data from the website or the Service by automated means, except through the API in line with your plan's limits;
- reverse engineer, decompile, disassemble or otherwise try to derive our source code, labeling heuristics, wallet lists, scoring models or methodology, except to the extent applicable law expressly prohibits this restriction;
- remove, obscure or alter any attribution, proprietary notice or disclaimer; or
- misrepresent the Data, its source, or its meaning, including presenting exchange deposits or withdrawals as confirmed purchases or sales, or presenting heuristic wallet labels as verified identities.
6. Attribution and Aggregated Insights
You may publish Aggregated Insights (for example, a chart in your newsletter, a figure in a research note, or a statistic in a social media post) only if every one of these conditions is met:
- Credit. Each publication carries a visible credit reading "Data: Deep Blue Alpha" (or "Source: Deep Blue Alpha (deepbluealpha.io)"), placed next to the chart or figure. In digital media, the credit links to deepbluealpha.io where practical.
- Aggregated, not raw. No Raw Data tables, downloads, data files or machine-readable extracts are published. A single publication may name no more than ten (10) individual wallet addresses or transactions.
- Not a substitute. The publication is not a live or regularly updated feed, alert service, dashboard or data product, and is not something a reasonable reader could use instead of a Deep Blue Alpha subscription.
- Accurate framing. The publication does not present our Data as investment advice, a recommendation, or a prediction, and does not state or imply that Deep Blue Alpha endorses you, your product or any view expressed.
- No harm to people. The publication does not attempt to identify, or allege the identity of, any natural person behind a wallet.
Personal-plan users may publish Aggregated Insights and screenshots of the Service under these same conditions, for non-commercial purposes only. You are solely responsible for anything you publish, and Section 11 applies to it. We may ask you to correct or remove any publication that does not meet these conditions, and you will do so promptly. Uses beyond this Section require an Enterprise plan.
7. Acceptable Use
In addition to the Prohibited Uses in our Terms of Service, you will not use the Service or the Data:
- Market abuse: to engage in or facilitate market manipulation, spoofing, layering, wash trading, pump-and-dump or coordinated trading schemes, front-running of customers, insider dealing, or the spreading of false or misleading information about any asset or market;
- Harassment and doxxing: to identify, attempt to identify, track, locate, contact, threaten, harass, extort, stalk or publicize the identity of any natural person associated with a wallet address, or to target any person for phishing, scams, social engineering or physical harm;
- Unlawful activity: for money laundering, terrorist financing, fraud, theft, sanctions evasion or any other unlawful purpose, or in violation of any law that applies to you, including securities, commodities, derivatives, consumer-protection, privacy and data-protection laws;
- Regulated decisions about people: as a basis for decisions about any individual's eligibility for credit, employment, insurance, housing or similar purposes, or as a "consumer report" under the U.S. Fair Credit Reporting Act or any similar law;
- Compliance reliance: as your sole or primary basis for any legal, regulatory, anti-money-laundering, know-your-customer or sanctions-screening decision; or
- Infrastructure abuse: in any way that overloads, disrupts, probes or attacks the Service, including denial-of-service, vulnerability scanning without our written permission, or sending malicious content to our endpoints.
8. Sanctions and Export Compliance
You represent and warrant that neither you nor any Authorized User, nor any person who owns or controls you, is (a) located in, organized under the laws of, or ordinarily resident in any country or region subject to comprehensive U.S. sanctions; (b) listed on, or owned 50% or more by persons listed on, any U.S., U.N., EU or U.K. sanctions or restricted-party list, including the OFAC Specially Designated Nationals list; or (c) otherwise prohibited by law from receiving the Service. You will not use, export, re-export or provide the Service or the Data in violation of applicable sanctions or export-control laws. We may refuse, suspend or terminate service, and withhold any refund to the extent the law requires, if we reasonably believe this Section has been breached.
9. API, Webhooks, Bulk Files and Fair Use
- Limits. Each plan has request, key and delivery limits shown on the pricing page, in the API documentation or in your Order Form. These are currently 25,000 API requests per day on Whale. The Business plan includes 250,000 API requests per day with up to five (5) API keys. Requests over a limit may be rejected or throttled without notice.
- Fair use. Even within the stated limits, we may throttle, queue or suspend traffic that we reasonably believe threatens the stability, security or cost of the Service or other customers' use of it. Where practical, we will tell you by email first.
- Webhooks. Where your plan includes webhooks (Business), webhooks are sent to the endpoint you configure, on a best-effort basis. They may arrive late, out of order, more than once, or not at all. You are responsible for securing your endpoint, verifying webhook signatures, deduplicating events and reconciling against the API. We may disable a webhook that repeatedly fails or responds slowly.
- Bulk data files. Where your plan includes them (Business), daily bulk files are delivered on a best-effort basis and may be delayed, incomplete, revised or regenerated. File formats, fields and schedules may change. Where practical, we will announce material breaking changes by email or in the documentation.
- History. Available history differs by data type and plan, and is described in the documentation and on our methodology page. As of the Effective Date, history for tracked whale wallets runs from October 7, 2026, and exchange-flow history for other wallets is limited to a rolling recent window. We may change retention periods, and we do not promise that any historical record will remain available.
- Changes. We may add, change, version or retire endpoints, fields, wallet sets, labels and methodology at any time. Where practical, we will give reasonable notice of changes that break a documented endpoint for paying Business customers.
10. Credentials and Security
You will keep Credentials confidential, store them securely, and share them only with Authorized Users who need them. You are responsible for all activity under your account and Credentials, including activity by anyone who gets them from you. If you believe a Credential has been exposed, you will rotate it immediately and email team@deepbluealpha.io. We may revoke or rotate any Credential we believe is compromised or being misused.
11. Data Accuracy and Nature of the Data
The Data is heuristic, can be wrong, and is not a record of anyone's intent, trades or identity. Never use it as the only basis for any trading, investment, legal or compliance decision.
You acknowledge that:
- most tracked "whale flow" consists of deposits to and withdrawals from centralized exchanges, not decentralized-exchange trades. We classify withdrawals as accumulation-side and deposits as distribution-side by heuristic. A withdrawal is not a confirmed purchase, and a deposit is not a confirmed sale;
- wallet labels, exchange attributions, "whale" designations, holdings valuations, profit/loss figures, scores and other classifications are estimates produced by automated heuristics and third-party sources. They may be incomplete, outdated, mislabeled or wrong, and they do not identify any person;
- Data may be delayed, missing, duplicated, revised after delivery, affected by blockchain reorganizations, or affected by outages and errors at third-party data and infrastructure providers; and
- prices and USD values are approximations and may be stale or incorrect, particularly for illiquid tokens.
You are solely responsible for validating the Data before relying on it, and for building appropriate safeguards (such as position limits, sanity checks, kill switches and human review) into any system that acts on it automatically.
12. No Investment Advice; No Fiduciary Relationship
Deep Blue Alpha is not a broker, dealer, investment adviser, commodity trading advisor, exchange or fiduciary. The Data is general, impersonal information that is not tailored to you. Nothing we provide, including any alert, webhook, score, label, report or support email, is a recommendation or solicitation to buy, sell or hold any asset. You make all trading and investment decisions independently and at your own risk. Our Disclaimer applies in full.
13. Suspension and Termination
- By you. You may cancel at any time from your account or by emailing team@deepbluealpha.io. Cancellation takes effect at the end of the current billing period, and access continues until then. Enterprise term and termination follow your Order Form.
- Suspension by us. We may immediately suspend or limit all or part of your access, including specific Credentials, if we reasonably believe that (a) you have breached these Business Terms or the Terms of Service, (b) your use creates a security, legal, regulatory or operational risk to us or others, (c) payment is overdue, or (d) suspension is required by law. Where practical, we will tell you the reason by email and restore access once the issue is resolved.
- Termination by us. We may terminate your subscription (a) for material breach that you do not cure within ten (10) days after notice, or immediately if the breach involves Sections 5, 7, 8 or 10 or cannot be cured; (b) if required by law; or (c) for any reason on thirty (30) days' notice, in which case we will refund any prepaid fees for the unused part of the term after termination.
- Effect of termination. When your access ends for any reason: all licenses end; you will stop using the Service and the Data; and within thirty (30) days you will delete all Raw Data and Credentials in your possession or control, and certify deletion by email if we ask. You may keep (a) Aggregated Insights you published in line with Section 6 before termination; (b) internal analyses, reports and models that do not contain Raw Data and from which Raw Data cannot reasonably be extracted; and (c) copies you are legally required to keep, which remain subject to these Business Terms for as long as you keep them. Termination for your breach does not entitle you to any refund.
- Survival. Sections 4.4, 5, 6 (for publications already made), 8, 11, 12, 13, 14, 15, 16, 17, 18 and 20, and all unpaid fee obligations, survive termination.
14. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE, THE DATA AND ALL CREDENTIALS, WEBHOOKS, FILES AND SUPPORT ARE PROVIDED "AS IS", "AS AVAILABLE" AND "WITH ALL FAULTS". WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, TIMELINESS, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE OR DATA WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY DEFECT WILL BE CORRECTED.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
(A) IN NO EVENT WILL DEEP BLUE ALPHA OR ITS OPERATORS, AFFILIATES, LICENSORS OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL OR DATA, OR ANY TRADING OR INVESTMENT LOSSES, LIQUIDATIONS, MISSED OPPORTUNITIES OR COSTS OF SUBSTITUTE DATA OR SERVICES, ARISING OUT OF OR RELATING TO THE SERVICE, THE DATA OR THESE BUSINESS TERMS, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
(B) OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE, THE DATA AND THESE BUSINESS TERMS WILL NOT EXCEED THE GREATER OF (I) THE TOTAL FEES YOU ACTUALLY PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (II) ONE HUNDRED U.S. DOLLARS (US$100).
(C) THESE LIMITATIONS ARE AN ESSENTIAL BASIS OF THE BARGAIN, REFLECT A REASONABLE ALLOCATION OF RISK, AND APPLY EVEN IF A LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN EXCLUSIONS OR LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU, IN WHICH CASE OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT THE LAW PERMITS.
16. Indemnification
You will defend, indemnify and hold harmless Deep Blue Alpha and its operators, affiliates, licensors and agents from and against any claims, demands, proceedings, losses, damages, fines, penalties, costs and expenses (including reasonable legal fees) brought by a third party or a regulator that arise out of or relate to: (a) your or your Authorized Users' use of the Service or the Data; (b) any trading, investment or automated system that uses the Data, and any outcome of it; (c) any product, service, publication or communication you provide to others that uses or refers to the Data; (d) your breach of these Business Terms, the Terms of Service or applicable law; or (e) any dispute between you and a third party, including any person associated with a wallet address. We will notify you of any claim we seek indemnity for, may participate with counsel of our own choosing at our own cost, and you will not settle any claim that imposes an obligation or admission on us without our written consent.
17. Availability and Support
We do not provide any Service Level Agreement, uptime commitment, response-time commitment or service credits for Personal or Business plans. Section 12 ("Service Availability & No SLA") of the Terms of Service applies. Any service commitments for Enterprise apply only if they are set out in an Order Form. Business and Enterprise support is provided by email only, at team@deepbluealpha.io, and Business requests are prioritized ahead of Personal-plan requests. Support is provided in writing only.
18. Confidentiality and Your Information
Each party will keep confidential any non-public information the other discloses that is marked or reasonably understood as confidential, including Credentials, non-public documentation, pricing in an Order Form, and your non-public account and usage information. Each party will use that information only to perform under these Business Terms. This does not apply to information that is public through no fault of the recipient, already known to the recipient, independently developed, or required to be disclosed by law (with prompt notice where lawful). We handle personal information as described in our Privacy Policy. We will not publicly name you as a customer without your permission.
Personal data in the Data. Wallet addresses and related on-chain activity may be personal data under some laws. Where you process the Data for your own purposes, you do so as an independent controller (or equivalent), and you are responsible for your own compliance with applicable data-protection laws.
19. Fees, Billing and Taxes
Fees, billing periods, payment methods, cancellation and refunds are governed by our Billing & Payments policy and, for Enterprise, your Order Form. Fees are non-refundable except where applicable law requires a refund or these Business Terms expressly provide one. Invoices are due within fourteen (14) days of the invoice date unless an Order Form states otherwise. Fees exclude taxes, and you are responsible for all applicable sales, use, value-added, goods-and-services, withholding and similar taxes, other than taxes on our net income. If any withholding is required, you will gross up the payment so that we receive the full amount invoiced. Overdue amounts may lead to suspension under Section 13.
20. Governing Law and Disputes
These Business Terms are governed by the laws of the State of Wyoming, U.S.A., and applicable U.S. federal law, without regard to conflict-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Personal plans. If you use the Service on a Personal plan (including the Whale API), disputes are resolved under Section 15 (Governing Law & Dispute Resolution) of our Terms of Service, including individual arbitration and the 30-day opt-out. The rest of this Section 20 does not apply to you.
Business and Enterprise plans. For Business and Enterprise customers, the state and federal courts located in the State of Wyoming have exclusive jurisdiction over any dispute arising out of or relating to these Business Terms or the Service, and each party consents to their personal jurisdiction. Either party may also seek injunctive relief in any court of competent jurisdiction to protect its intellectual property, Credentials or confidential information, or to stop a breach of Sections 5, 6, 7 or 8. EACH PARTY WAIVES ANY RIGHT TO HAVE ANY DISPUTE DECIDED BY A JURY AND ANY RIGHT TO PARTICIPATE IN A CLASS OR REPRESENTATIVE ACTION, TO THE EXTENT PERMITTED BY LAW.
Any claim must be brought within one (1) year after the claim arises, to the extent permitted by law.
21. Changes to These Business Terms
We may update these Business Terms from time to time. We will post the updated version on this page with a new date, and for material changes that reduce your rights we will give paying Business customers at least thirty (30) days' notice by email. Changes take effect at the start of your next billing period after the notice period. If you do not agree, you may cancel before then. Changes do not affect an Enterprise Order Form during its current term unless the Order Form allows it or the change is required by law.
22. General
- Order of precedence. If documents conflict, this order applies: (1) an Enterprise Order Form, for that Order Form only and only where it expressly overrides a named section; (2) these Business Terms; (3) the Terms of Service; (4) other policies referenced here. Purchase orders, vendor-registration forms and other terms you supply have no effect, even if we accept or sign them, unless we expressly agree in an Order Form that they apply.
- Entire agreement. These Business Terms, together with the documents in the order-of-precedence list, are the entire agreement between the parties on their subject matter and replace any prior proposals, emails or understandings.
- Assignment. You may not assign or transfer these Business Terms, your subscription or any Credentials without our written consent, including by merger or change of control. We may assign them to an affiliate or to a successor to our business or assets, including on formation of, or transfer to, a new legal entity. Any assignment in breach of this Section is void.
- Notices. We may send notices to the email address on your account. You must send notices to team@deepbluealpha.io. Email notices are effective when sent, unless we receive a delivery failure.
- Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control, including outages at blockchain networks, data or infrastructure providers, payment processors or internet carriers, attacks, governmental action, or natural events. Payment obligations are not excused.
- Feedback. If you send us suggestions or feedback, we may use them without restriction or compensation.
- Relationship. The parties are independent contractors. There are no third-party beneficiaries.
- Waiver and severability. A failure to enforce a provision is not a waiver. If a provision is found unenforceable, it is modified to the minimum extent necessary and the rest remains in effect.
- Electronic acceptance. You may accept these Business Terms and any Order Form electronically, including by checking a box when you create or switch to a business account, at checkout, or by paying an invoice that references them.
23. Contact
